CONTRIBUTION-BASED CROWDFUNDING: SECURITIES LAW AND INVESTOR PROTECTION ISSUES

Contribution-based crowdfunding is the type of activity with the highest turnover of capital compared to other types of public financing. In this type of activity, it is mainly characterized by the similarity with the stock exchange (stock market) and investment relations in the legislation of the states. In addition, this type of activity has different aspects from the above relationship, and due to these aspects, several problems arise in the implementation of contribution-based crowdfunding activities. This mainly includes the differences in legislation and practice regarding the circulation of securities in equity-based financing, the basis of current legislation, and the main legal issues that must be resolved to ensure the protection of investors' rights.
